Terms of Engagement
These Terms of Engagement ("Terms") define the contractual framework governing professional advisory, company formation, administrative coordination, and corporate support services rendered by Connection Middle East to clients, founders, and corporate bodies.
1. Corporate Capacity & Advisory Scope
Connection Middle East operates as a professional management consultancy and corporate services advisory practice established under the laws of the Emirate of Dubai and the United Arab Emirates.
Our scope encompasses structural corporate advisory, preparation of statutory formation documentation, licensing liaison with economic departments and free zone authorities, residency visa administrative guidance, and banking dossier preparation (Banking Readiness).
Connection Middle East is not a banking institution, sovereign regulator, immigration authority, or law court, and does not provide legal representation in judicial litigation.
2. Client Obligations and Representations
The Client warrants, represents, and undertakes that:
- All identity documents, corporate charters, financial statements, and beneficial ownership declarations provided are true, authentic, and complete.
- The proposed commercial activities and business enterprises comply with all applicable UAE laws and international regulatory sanctions.
- The Client shall promptly inform the Company of any material change in shareholding, management control, residential address, or Ultimate Beneficial Ownership (UBO).
- The Client shall remit required government fees, licensing tariffs, and professional retainers in accordance with agreed fee schedules.
3. Sovereign & Institutional Disclaimers
Clients must take specific note of jurisdictional boundaries regarding sovereign government entities and financial institutions:
- Government Discretion: All decisions concerning the approval, issuance, renewal, suspension, or refusal of commercial licenses, trade names, visas, security clearances, or municipal permits rest exclusively within the sovereign authority of the competent UAE government bodies (e.g., DET, Free Zone Authorities, GDRFA, ICP, and MoHRE).
- Banking Approval Disclaimer: Decisions regarding the opening, operation, compliance review, or maintenance of corporate or personal bank accounts are determined solely and independently by the internal risk, compliance, and onboarding committees of the respective financial institutions. Connection Middle East provides technical dossier structuring but does not, and cannot, guarantee account approval or operational timelines.
Important Institutional Notice: Connection Middle East provides procedural facilitation and compliance assembly. We hold no sovereign authority over UAE government departments or licensed banks. No officer or representative of the Company possesses authority to issue guarantees regarding government approvals or bank account acceptance.
4. Professional Fees & Non-Refundable Government Disbursements
Company invoices distinguish strictly between professional consulting fees and official government disbursements / third-party tariffs.
Fees paid to UAE government departments, economic registries, free zone authorities, immigration registries, medical fitness centers, and notarization bodies are non-refundable once remitted to the respective authority, irrespective of the procedural outcome.
5. Professional Secrecy and Confidentiality
Both parties mutually commit to strict professional confidentiality. All commercial records, strategic discussions, financial metrics, and corporate structures shared during the engagement shall remain privileged and confidential, except where disclosure is mandated by UAE federal laws, regulatory decrees, or competent court orders.
6. Limitation of Liability & Force Majeure
To the maximum extent permitted by UAE law, Connection Middle East shall not be liable for any indirect, special, punitive, incidental, or consequential damages, nor for loss of prospective profits or operational delay arising from unilateral revisions in government immigration regulations, economic authority guidelines, or banking compliance policies.
Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including statutory policy amendments, sovereign regulatory freezes, or force majeure events.
7. Governing Law and Jurisdiction
These Terms and any engagement contract derived hereunder shall be governed by, interpreted, and construed in accordance with the substantive laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates.
Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts of Dubai (Dubai Courts).
